Is your existing structure the optimal structure for you? What is best for you; a sole trader, partnership, LLP or limited company? Do you have, or should you have a group structure with subsidiaries? In particular the tax treatment is different for each type of business as is the risk carried. You may be better off, or subject to less risk if you restructure.
Our Solicitors are guided by your businesses’ values and objectives and will work with you to restructure it for the future.
We regularly advise on:
Tax efficient restructuring
Many successful businesses that have grown over the years have not looked at whether their structure is the most tax efficient way of conducting business. Do you want to be operating in the Corporation Tax regime, Income Tax or a combination of the two? If you are considering a business sale, what is the best structure for the company or for you as an owner?
Increase of share capital and allotment of shares
Increasing investment in this manner is often an efficient way to fund new ventures or to reward key employees. We will take you through the transaction from start to finish, including reviewing your company’s articles and setting up tax efficient share option schemes, such as an Enterprise Management Incentive (EMI) scheme.
Hive-up or down of assets in group structures
It makes sense to allocate assets in group companies to minimise tax, risk and administration. It is often the case that companies who have been through periods of change whether by expansion, merger or acquisition, benefit greatly from this kind of restructuring.
Company purchase of own shares
Sometimes a company may wish to reduce the number of shares in circulation, normally to buy out a retiring director or an exiting investor. We can guide you through this potential minefield to the completion of your objectives.
Seeking sources of equity and/or loan finance
If you are looking to bring in outside investment to help fund your business opportunities, we can advise on sources of finance such as EIS & SEIS schemes, angel investors, directors’ loans and debentures. We can also draft the agreements and company documents necessary to give all parties peace of mind.
Change from sole trader to partnership
If you are looking to form a partnership from an existing business we can create partnership agreements to define the relationship that you want to create.
Variations of partnerships for incoming or retiring partners
If you are looking to expand or reduce your partnership we can provide admission and retirement documents, we can also assess your existing agreements to make sure they properly deal with these issues.
Incorporation of sole trader / partnership into a limited company / limited liability partnership
Incorporation is an important step in the evolution of many businesses. Our solicitors will expertly guide you through the process and explain the many benefits that come with it and help you to avoid the pitfalls.

When informed by your employer that your employment contract is to be terminated because of a restructuring and not through any fault of one’s own – and probably not knowing what to do or who to turn to - it’s a lonely, disorientating, and unsettling place to be - as anyone in a similar position reading this will fully understand. When this happened to me, I didn’t know who to turn to. But a colleague recommended Barrett and Co, and so I checked out the website and was impressed with what I read about Justin Sadler and his experience. Justin and his assistant were quick to respond to my inquiry, and a consultation call was set up which was extremely useful. Justin quickly grasped my situation and was able to provide me with sensible and pragmatic legal advice as well as a tactical approach on how to proceed, and very importantly - advice on how to best channel my feelings. I had a legal stalwart in my corner. In short, we achieved as good an outcome as was possible in the circumstances and I am very grateful to Justin for all his help and advice. If you need employment related legal advice - look no further than contacting Justin Sadler at Barrett and Co.

In the run up to completion, Emma and her colleagues were taking very good care of us. Despite many challenges throughout the day, including a tricky chain + backlog in banking transactions, Emma was always on hand with a friendly word and answering our queries quickly and professionally etc.

There are so many positive things I would like to say about Barret & Co. For me to do that would take too long. I will say, however, that Barrett & Co provided a first class service that resulted in a very positive & successful outcome . The service we received was akin to the service you would expect from a large city solicitor. If you are looking for a professional efficient multi discipline solicitor ,then I strongly recommend that you look no further. Thank you Barrett & Co ,with a special thank you to Jane Whitfield, for all that you have done for us & for taking away all the worry.

It is our first time to purchase a property in UK and we are not clear about the details and trick in the conveyancing process. We are lucky to have Piers and his team, Emma and Fatima to handle our case. Like everyone who want to complete the deal before the stamp duty holiday, we keep pushing the schedule. They are very responsive and patient to our enquiry. Instead of just "close the deal", they provide very professional advice to those critical issues on the tile. While protecting our interest in the legal point of view, they facilitate the process to meet the target schedule too. Piers' team did a amazing job. Highly recommend.

It has been an amazing journey and I have personally learnt so much and hope that I will be able to continue to learn from you. I hope that you understand that you are by no means now rid of me/us.
